1. Introduction and Eligibility
Welcome to Needer. Needer operates solely as a technology platform that facilitates connections, escrow coordination, and moderated delivery between independent Clients and Freelancers. Needer is not an employer, agency, broker, or direct service provider.
These Terms of Service ("Terms") govern your use of the Needer decentralized freelancing platform. By accessing or using our services, you confirm your agreement to be bound by these Terms.
- Users must be at least 18 years old to use Needer. By using the platform, you represent and warrant that you are legally an adult in your jurisdiction.
- Freelancers are independent contractors and are solely responsible for the services they offer, deliver, and represent on the platform.
- Use of Needer is also governed by our Privacy Policy.
2. Smart Contract Escrow Services
Needer utilizes smart contracts on blockchain networks to facilitate secure escrow and payment interactions between Clients and Freelancers. All payments are handled via USDC. By using the platform, you acknowledge that:
- Payments are processed immutably on the respective blockchain network.
- Blockchain transactions cannot be reversed once confirmed. Needer cannot recover assets sent to incorrect addresses.
- Digital assets (such as USDC) held in escrow are governed by the logic of publicly verifiable smart contracts deployed by Needer.
- Network fees (gas) are required to execute on-chain transactions and are the responsibility of the executing wallet.
3. Order Lifecycle, Cancellations & Refunds
The escrow process follows strict conditions to protect the rights of both parties:
- Order Cancellations: Clients may manually cancel an order without penalty only if the escrow has not yet been funded (i.e., during the OPEN, COUNTER-OFFER, or ACCEPTED states). Once an order enters the FUNDED state, it cannot be arbitrarily canceled by the Client.
- Funding Timeout: Clients must fund the escrow within 72 hours of the freelancer accepting the order. If the smart contract is not funded in this window, the platform will automatically cancel the order.
- Auto-Release: Once a delivery has been approved by an administrator and officially made available to the Client, the Client has 48 hours to manually release the funds. If the Client takes no action within this timeframe, the smart contract permits the funds to be automatically released to the Freelancer.
- Refunds: Once an order is FUNDED, the Client's funds are locked. The Client may only execute a smart contract refund if the Freelancer fails to submit a delivery by the agreed-upon deadline. If a submission is made on time but is rejected by an Administrator during the pre-delivery review phase, a refund will be possible once the deadline expires.
4. Role of Administrators and Delivery Moderation
Administrator wallets have specific privileges granted by the smart contract to intervene directly in active order life-cycles, particularly during the delivery review phase:
- Delivery Pre-review: For platform security and legal compliance, all deliverables submitted by Freelancers are securely retained and manually reviewed by an Administrator before they are forwarded to the Client.
- We reserve the right to immediately cancel orders and restrict accounts if uploaded deliverables violate any laws or platform policies.
- Needer reviews content solely for platform safety and legal compliance and does not assume authorship, ownership, or endorsement of any user-generated material.
- Administrator review does not guarantee legality, authenticity, quality, or regulatory compliance of user-submitted material.
- Protocol Maintenance: Setting the destination platform fee wallet.
Administrators aim to act in good faith based on available platform evidence.
5. Platform Fees and Taxes
- Needer charges a 15% platform fee on the total value of each successfully delivered and approved order. This fee is automatically deducted by the smart contract at the time of value release.
- Needer Pioneer Creators are offered a permanent 5% platform fee. The Needer Pioneer Creators program is available for a limited early-stage period and may be closed without prior notice once platform objectives are reached. Limited early access benefit.
- Failed, canceled, or fully refunded orders do not incur the platform fee, but blockchain gas fees are non-refundable.
- Users are solely responsible for determining and fulfilling their tax obligations arising from transactions performed through Needer.
6. Account Verification and User Conduct
Freelancer accounts are strictly invite-only or must be verified by Needer to maintain quality. You are solely responsible for all code, content, deliverables, or material you submit.
- Needer reserves the right to request identity verification at any time to ensure platform security, fraud prevention, and legal compliance.
- Failure to provide requested verification may result in account suspension or permanent termination.
- Needer reserves the right to suspend or terminate accounts that violate these Terms, platform policies, or applicable law without prior notice.
- Needer may temporarily restrict accounts showing suspicious, abusive, or high-risk transactional behavior pending review.
7. Content Rules and Prohibited Content
Needer allows both SFW and NSFW freelance services where legally permitted. Users are solely responsible for ensuring that requested, created, uploaded, and delivered content complies with applicable local laws.
The following content is strictly prohibited:
- Minors or age-ambiguous content
- Non-consensual content
- Illegal sexual content
- Deepfakes involving real persons without consent
- Violent sexual exploitation content
- Malware, malicious scripts, phishing files, or harmful software
- Fraudulent impersonation
- Copyright infringement
8. Intellectual Property and Ownership
- Unless otherwise specified in the order description, ownership of delivered content transfers to the Client only upon full payment release.
- Freelancers retain ownership until escrow release occurs.
9. Limitation of Liability
Given the experimental nature of blockchain and cryptographic systems, Needer is provided "as is" without warranty.
- Needer administrators will not be held liable for any loss of funds due to external blockchain reorganizations, smart contract undiscovered vulnerabilities, user wallet compromise, or incorrect recipient addresses provided by the User.
- Users are solely responsible for maintaining the security of their wallets, private keys, seed phrases, and connected devices.
- Needer shall not be liable for delays, failures, or losses caused by blockchain congestion, protocol failures, network outages, or third-party infrastructure disruptions.
- Needer shall not be responsible for service interruption caused by force majeure events including cyberattacks, cloud outages, blockchain failures, legal restrictions, or infrastructure failures beyond reasonable control.
To the maximum extent permitted by law, Needer shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from:
- Smart contract failures
- Wallet compromise
- Blockchain congestion
- User misconduct
- Illegal content submitted by users
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Colombia, without regard to conflict of law principles. Any disputes arising from the use of Needer shall be subject to the exclusive jurisdiction of the competent courts of Colombia.
11. Changes to These Terms
Needer reserves the right to modify or update these Terms at any time. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
